1. Application and enforceability
These general terms of sale cover all contracts entered into between LARCHE SAS and its customers. Consequently, placing an order implies that the buyer accepts these general terms of sale in full and without reservations. The fact that LARCHE SAS does not invoke, at a given moment, any one of these general terms of sale shall not be interpreted as waiving of the right to invoke any one of these said terms at a later date.
2. Order taking
In line with trade practices, orders are taken by telephone, fax, the internet or by mail.
3. Price
All the prices indicated on the invoice are inclusive of tax, in euros and for delivery in mainland France with payment in cash and no discount.
4. Terms of payment
Any sum that remains unpaid after a maximum period of 30 days from the end of the month in which the invoice is received shall automatically give rise to penalties for late payment, without prior formal notice notwithstanding article 1153 of the French Civil Code, in the form of penalty interest set at 1.7 times the statutory rate of interest on the day this penalty interest is invoiced. These penalties shall run until full payment is received.
5. Postal charges and preparation
For all orders of an amount less than € 180 incl. tax, a lump sum of € 13 incl. tax is charged to cover part of the costs related to preparation and delivery of the order.
6. Term of delivery
Whilst the terms of delivery indicated in our catalogue, on our quotations or pro-forma invoices are determined as accurately as possible, they shall not represent a commitment on our behalf. Any penalty for late delivery is excluded.
7. Partial delivery
Unless otherwise specifically stated on the order slip, we shall proceed with shipping immediately of articles in batches that are uniform, usable and available in our stores, with any back orders being delivered separately at a later date.
8. Complaints
To be valid, any complaints concerning both the quantities and forms ordered as well as the condition of the goods must be sent LARCHE SAS within 15 days of receipt of the goods. A credit note excluding tax will be given for all complaints deemed valid.
9. Right to retain ownership
LARCHE SAS shall retain ownership of all goods sold until effective payment of the full price. Failure to meet any payment schedule may lead to the repossession of the goods at the buyer's risk. These provisions do not impede the transfer to the buyer of the risks of loss and damage of the goods sold with effect from their delivery. The buyer shall bear all the legal and judicial costs subsequent to litigation.
10.Applicable law - disputes
Unless LARCHE SAS prefers to seize any other competent court, the competent court for all litigation relating to sales (disputes concerning preparation or execution of orders, the goods, payment, etc.) shall be the Commercial Court of Macon. This clause is applicable notwithstanding any clause to the contrary, even in the case of a settlement or proceedings involving several defendants and whatever the method or terms of payment.
